版权协议

请在安装或使用本软件之前仔细阅读以下许可协议（以下简称“协议”）。您仅在同意本协议的条款后，才能使用本软件。未经授权，禁止复制、修改、反向工程、解密或以任何方式传播本软件的任何部分。使用本软件即表示您同意遵守以下条款和条件。

1.知识产权

DONHO Invoice Master (Professional Edition) 软件（以下简称 “本软件”）由陈和艺（以下简称 Heyi Chen）开发和拥有版权。

本软件及其附带文档（以下简称“软件”）归Heyi Chen所有，受版权法及相关法律的保护。本公司保留对本软件所有权利、所有法律和知识产权的所有权利。

2.许可授予

Heyi Chen 授予您（以下简称 “用户”）一个非独占的、不可转让的、可撤销的许可，允许你在遵守本协议条款的前提下使用本软件。此许可仅允许用户在一台或多台设备上安装和使用本软件，具体取决于你购买的许可类型。未经 Heyi Chen 的额外许可，用户不得将此许可再授权给任何第三方使用本软件。

3.软件使用

用户仅可将本软件用于合法目的，包括但不限于商业或非商业的发票管理、数据处理和相关业务操作。用户应遵守所有适用的法律法规，不得利用本软件从事任何非法活动，包括但不限于欺诈、洗钱、违反税收法规或侵犯他人权益等行为。

4.技术支持

Heyi Chen 可能会根据自身的业务安排，为用户提供一定期限内的技术支持服务。但不保证提供不间断的技术支持，并且有权在任何时候修改、暂停或终止技术支持服务，而无需对用户承担任何责任。用户应自行负责备份软件数据，因软件更新或技术支持变更导致的数据丢失或损坏，Heyi Chen 不承担责任。

5.软件更新

本公司可能会不定期发布软件的更新版本，更新版本将包含错误修复、功能改进或安全补丁。您可以在官方网站或通过其他授权渠道获取最新版本。更新和新版本将受到本协议的约束。

6.免责声明

本软件按 “原样” 提供，不提供任何形式的明示或暗示的保证，包括但不限于适销性、特定用途适用性和非侵权性的保证。在任何情况下，Heyi Chen 对因使用或无法使用本软件而产生的任何直接、间接、特殊、偶然或后果性的损害（包括但不限于数据丢失、业务中断、利润损失等）不承担任何责任，即使 Heyi Chen 已被告知可能发生此类损害。

7.隐私政策

本软件可能会收集某些信息，如使用情况、错误报告等，以改进软件性能和用户体验。Heyi Chen承诺将按照适用的隐私法规处理和保护用户信息，不会将用户信息出售或披露给第三方，但在法律要求的情况下除外。用户同意 Heyi Chen对其信息的使用符合本隐私政策。

8.禁止行为

本软件受版权法和国际条约的保护。未经Heyi Chen的明确书面许可，任何人不得对本软件进行以下行为：

复制、分发、传播本软件的全部或部分内容，无论是以源代码形式还是二进制形式。

对本软件进行逆向工程、反编译、反汇编或试图获取其源代码；

在未经授权的情况下公开本软件的源代码；

修改、改编、翻译或创作本软件的衍生作品，除非得到 Heyi Chen 的书面许可；

出租、转售或转让本软件；

9.争议解决

因本协议或使用本软件引起的任何争议，应首先通过友好协商解决；协商不成的，应提交至Heyi Chen所在地的仲裁机构或法院进行仲裁或诉讼解决。

10.协议终止

如果用户违反本协议的任何条款，Heyi Chen有权立即终止许可，用户应立即停止使用本软件，并销毁其拥有或控制的本软件的所有副本。终止许可不影响Heyi Chen依据法律享有的其他权利。

11.其他条款

本协议构成用户与 Heyi Chen 之间关于本软件的完整协议，取代之前的任何口头或书面协议。如本协议的任何条款被认定为无效或不可执行，不影响其他条款的有效性和可执行性。Heyi Chen有权随时修改本协议，修改后的协议将在 [修改后的协议生效方式，如在软件的网站或更新日志中公布，并在一定期限后生效] 生效，用户继续使用本软件即表示接受修改后的协议。

Please carefully read the following License Agreement (“Agreement”) before installing or using this software. You may only use this software after agreeing to the terms of this Agreement. Unauthorized copying, modification, reverse engineering, decryption, or distribution of any part of the software is prohibited. By using this software, you agree to comply with the following terms and conditions.

1.Intellectual Property

The DONHO Invoice Master (Professional Edition) software (hereinafter referred to as “the Software”) is developed and copyrighted by Chen Heyi (hereinafter referred to as Heyi Chen).

The Software and its accompanying documentation (hereinafter referred to as “the Software”) are owned by Heyi Chen and protected by copyright laws and relevant laws. The Company reserves all rights, titles, and interests in the Software, including all legal and intellectual property rights.

2.License Grant

Heyi Chen grants you (hereinafter referred to as “User”) a non-exclusive, non-transferable, revocable license to use the Software, subject to the terms of this Agreement. This license only permits the User to install and use the Software on one or more devices, depending on the type of license purchased. The User may not sublicense the Software to any third party without additional permission from Heyi Chen.

3.Software Usage

The User may only use the Software for lawful purposes, including but not limited to commercial or non-commercial invoice management, data processing, and related business operations. The User shall comply with all applicable laws and regulations and shall not use the Software for any illegal activities, including but not limited to fraud, money laundering, tax violations, or infringement of others’ rights.

4.Technical Support

Heyi Chen may provide technical support services to the User for a certain period based on its business arrangements. However, it does not guarantee uninterrupted technical support and reserves the right to modify, suspend, or terminate such services at any time without liability to the User. The User is responsible for backing up their software data, and Heyi Chen is not liable for any data loss or damage resulting from software updates or changes in technical support.

5.Software Updates

The Company may release updates for the Software periodically, which may include bug fixes, feature improvements, or security patches. You may obtain the latest version through the official website or other authorized channels. Updates and new versions will be governed by the terms of this Agreement.

6.Disclaimer

The Software is provided “as is” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. In no event shall Heyi Chen be liable for any direct, indirect, special, incidental, or consequential damages (including but not limited to data loss, business interruption, or profit loss) arising from the use or inability to use the Software, even if Heyi Chen has been advised of the possibility of such damages.

7.Privacy Policy

The Software may collect certain information, such as usage data, error reports, etc., to improve software performance and user experience. Heyi Chen commits to handling and protecting user information in accordance with applicable privacy laws and will not sell or disclose user information to third parties except as required by law. The User agrees that Heyi Chen’s use of their information complies with this Privacy Policy.

8.Prohibited Actions

The Software is protected by copyright law and international treaties. Without the explicit written permission of Heyi Chen, no one may:

Copy, distribute, or disseminate the Software, in whole or in part, whether in source code or binary form.

Reverse engineer, decompile, disassemble, or attempt to obtain the source code of the Software.

Publicly disclose the source code of the Software without authorization.

Modify, adapt, translate, or create derivative works of the Software unless written permission is obtained from Heyi Chen.

Rent, resell, or transfer the Software.

9.Dispute Resolution

Any dispute arising from this Agreement or the use of the Software shall first be resolved through friendly negotiation; if negotiation fails, it shall be submitted to the arbitration agency or court in the location of Heyi Chen for arbitration or litigation.

10.Termination of Agreement

If the User violates any terms of this Agreement, Heyi Chen has the right to immediately terminate the license. The User must stop using the Software and destroy all copies of the Software in their possession or control. The termination of the license does not affect any other rights of Heyi Chen under the law.

11.Other Terms

This Agreement constitutes the entire agreement between the User and Heyi Chen regarding the Software and supersedes any previous oral or written agreements. If any provision of this Agreement is found to be invalid or unenforceable, the validity and enforceability of the remaining provisions shall not be affected. Heyi Chen reserves the right to modify this Agreement at any time. The modified Agreement will become effective upon [the method of effecting the modified agreement, such as posting on the software’s website or in the update log, with a specified period of time for effectiveness]. By continuing to use the Software, the User accepts the modified Agreement.

Please carefully read this Copyright Notice and Copyright Agreement. By using the Software, you agree to and accept all the terms and conditions of this Agreement. If you do not accept this Agreement, please do not use the Software.
